JOB OVERVIEW

Ontario Power Generation (OPG) is looking for a dynamic, strategic and results-driven professional to join our team in the role of Vice President, Transaction Finance & Strategy.

Reporting to the Senior Vice President of Commercial Integration & Strategy, the Vice President, Transaction Finance & Strategy provides strategic financial leadership to the corporate growth strategy in support of the company’s energy transition goals, including through execution of major transactions and investments.

The Vice President, Transaction Finance & Strategy is responsible for managing acquisition, investment, divesture, partnership and other transactions from a financial perspective, including modeling and analysis, synergy evaluation, due diligence, valuation, purchase accounting, and overall project management. They will also provide recommendations to senior executives and the Board of Directors on financial and business structures to maximize value and to mitigate risks for potential acquisitions, developments and business ventures and interface with potential partners and lead assigned commercial negotiations related to growth projects and business ventures.

KEY ACCOUNTABILITIES

Transaction Finance

  • Manage acquisition, investment, divesture, partnership and other transactions from a financial perspective, including modeling and analysis, synergy evaluation, due diligence, valuation, purchase accounting, and overall project management.
  • Evaluate and provide recommendations to senior executives and Board of Directors on financial and business structures to maximize value and to mitigate risks for potential acquisitions, developments and business ventures.
  • Develop financial integration plans and manage downstream implications of acquisition transactions.
  • Lead post-acquisition monitoring and make recommendations for improving business performance and effectiveness.
  • In conjunction with accountable lines of business, lead economic assessments and business case preparation for major generation asset development and other projects for CEO and Board of Directors’ approval.
  • Support electricity market modelling and assessments to facilitate optimization of planning decisions and provide financial leadership in the negotiation of contracts with the Independent Electricity System Operator.
  • Analyze, assess and advise on financial implications of electricity and economic policy decisions on the organization, leveraging support resources from across the enterprise as required.

Strategy

  • Develop revenue enhancing strategies, including with a view to achieve successful outcomes in rate regulation by the Ontario Energy Board.
  • Recommend strategies, plans and process improvements required to support commitment to and implementation of growth projects and initiatives.
  • Lead development of corporate financial scenarios to assess potential corporate strategies and associated organizational capacity in support of establishing growth goals.
  • Be accountable for requisite input to the corporate business plan and long-term outlook by developing and recommending financial projections for growth investments.

Stakeholder Management

  • Interface with potential counterparties and partners, investment banks and other external financial advisors, and lead assigned commercial negotiations related to growth projects and strategic initiatives, as required.
  • Establish and maintain a network of key industry connections in senior roles at energy companies and financial investors to support growth strategy objectives; represent OPG in industry forums and presentations.
  • Partner with senior leaders and ensure close collaboration across Finance and Treasury functions, with all business lines including Business Development, Operations, Legal, Regulatory Affairs and ESG, and with subsidiaries / partnerships.
  • Maintain effective relations with government representatives, OPG’s shareholder, regulatory agencies, debt investors and rating agencies as needed, and support development of associated strategies. Serve on boards of directors for OPG joint ventures and subsidiaries as required.

Leadership

  • Develop and provide overall leadership to a world class centre of excellence to meet current and future organizational needs for complex financial modeling, valuation, and analysis.
  • Lead team to desired results through strategic leadership, promoting cross-functional collaboration, instilling performance excellence, and demonstrating personal excellence in these behaviours.
  • Ensure sustained capability and succession planning within the team; foster and provide development opportunities for key talent.
  • Monitor and leverage industry developments and external best practices in acquisition transactions, deal structuring, business models, rate regulation and asset management.
  • Act as financial thought leader on key strategic issues regarding new business opportunity acquisition and implementation.

EDUCATION

  • Bachelor’s degree in finance, accounting, or business
  • A Master of Business Administration (MBA) and/or Professional designation (CFA or CPA/CA) is preferred but not required;

QUALIFICATIONS

  • Strong communication and interpersonal skills; experience in building and maintaining productive relationships and partnerships across the business with various stakeholders internally and externally;
  • Proven drive for results; demonstrates sound judgement with solid business acumen. Proven track record of achieving success and delivering results within all facets of modelling, analysis and project management, while providing valuable input and advice to the finance and leadership team;
  • Strong problem-solving skills, a strong drive and a high level of energy, commitment, and enthusiasm to take on complex and challenging situations; and
  • Experience working in/for/on behalf of a complex organization in industries such as utilities, energy, power, mining, heavy/industrial, infrastructure, manufacturing, telecommunications, or real estate.
  • Strong M&A transactions experience and in-depth understanding of corporate finance;
  • Experience advising business stakeholders and a team on transaction finance and M&A activities;
  • Proven experience driving financial performance and demonstrated success leading in a complex, dynamic and demanding environment;
  • Strong judgment and ability to deal with sensitive issues and engage strategically;
  • Experience in establishing credibility, confidence and earning trust. An engaging and highly collaborative leader with strong negotiation and persuasive presentation skills with proven ability to lead high-profile corporate initiatives and innovative financing structures; and
  • Proven ability to manage external stakeholder relationships.
